- when the entity does not appear for summons from the head of the Tax Office,
- when there is a court ruling banning the entity from doing business and there is information that the entity may be carrying out activities aimed at taking advantage of the banks.

Why is the virtual office contract concluded for an indefinite period of time?

We enter into contracts of indefinite duration because of their flexibility and ease of adaptation to the changing situation of our customers. Under such contracts, packages and payment periods can be changed at will (monthly, semi-annually, annually). A contract of this kind is also characterized by a short notice period of one month. We prefer that customers stay with us for years because of the high level of service provided, rather than because of restrictive term contracts.

How should I understand the one-month notice period of a virtual office contract?

Virtual office contracts have a one-month notice period effective at the end of the following calendar month. This means that if we give notice on, say, February 14, the contract will be terminated at the end of the following month (March).

Can I enter into a virtual office contract with you for a company if I have not yet been assigned a Tax Identifcation Number (NIP)?

Yes it is possible. If a memorandum of association has already been signed, but the company is not yet visible in the KRS and does not yet have a Tax Identification Number (NIP), there is nothing to prevent us from concluding the agreement. In this case, the addition of "in organization" to the name of the company in the contract. In order to draw up such an agreement, we need a scan of the executed articles of association of the company to confirm who is authorized to represent the company and thus to enter into an agreement with us.

Can the company's correspondence be picked up by another person?

Yes, it can, but we must first receive an e-mail authorization of such a person to receive correspondence, along with a complete set of his details. Such authorization should be given by a person authorized to represent the company. It is also necessary to indicate whether such authorization is one-time, periodic, or until revoked.

We send scans of correspondence to a single mailbox indicated in the contract. On their own mailbox side, however, customers usually have the option to set up forwarding of emails from a particular sender to other mailboxes

Such action is not permissible. Non-contractual registration of a company at our address will result in a fee of PLN 10,000 net. As an additional consequence, we will inform the relevant Tax Office and KRS/CEIDG about the non-contractual use of the address.

How long do I have to wait for my company registration application to go through the KRS?

The processing of an application to register a company with the KRS may vary in time depending on several factors such as the type of company, the completeness of the documentation and the method of incorporation (S24 system or notary public). Theoretically, in the case of a company established in the S24 system, the court should act within one day, but in practice, the company usually becomes active within 2-7 days after filing an application for its establishment.

Can you send back my package that mistakenly came to your address?

We can prepare such a package for shipment - however, it remains on the customer's side to order the appropriate courier, the type of package and send us the bill of lading/shipping label.

If a memorandum of association has already been drawn up (at a notary or via S24), but the company is not yet visible in the KRS, the entity functions as a "company in organization" and can enter into contracts in accordance with the representation. In such a situation, we enter into a standard contract, and in the name of the company appears the note "in organization."

Is it possible to change the company's data in the virtual office agreement in the event that they have changed in the KRS?

Yes. If there are changes in the company's data, we can prepare a corresponding addendum at any time.

Is the quoted virtual office rental amount fixed and will not change over the course of the contract?

Accepted Answer

The price list is subject to change during the contract. However, we must inform customers of the planned changes at least one month in advance. If the service is prepaid for a longer period - for example, a year, the price guarantee applies and any changes to the price list have effect only after the expiration of the paid period.

What are the terms of termination of a virtual office contract?

Virtual office contracts have a one-month notice period effective at the end of the following calendar month. This means that if we give notice on, say, February 14, the contract will be terminated at the end of the following month (March). An additional condition is the deletion of the office address from registers such as the KRS or CEIDG. In the event that the entity continues to be registered at the virtual office address after the termination of the contract, and we do not receive a document confirming the change, according to the provisions of the contract, we can invoice for subsequent billing periods until our address is deleted from the records.

I am establishing a foundation/association. In order for it to be assigned a taxpayer identification number and be registered in the National Court Register, it needs an address. Should I enter into a virtual office agreement now even though I won't be able to use the services and use the address for the next few months?

In the case of foundations and associations, it is enough to inform us of your desire to register at our address - the agreement should be signed as soon as you are registered with the KRS.

What about paid virtual office services if I suspend my business?

Accepted Answer

Suspension of the business is not synonymous with its liquidation. Suspension of the business is not tantamount to deletion of the company or sole proprietorship from the records - so it does not result in termination. As long as the company uses our address in the records, the contract is still in effect and the mail service is provided. Termination of the contract and any refund of the overpayment will be possible only after liquidation or change of the company's business address to another.

After the virtual office contract ends, do you collect incoming correspondence for a while and inform the client about it?

After the termination of the contract, we cannot receive correspondence due to the fact that with the termination of the contract all powers of attorney granted to us expire. However, it happens that after changing the company's address for some time, correspondence still comes to the old address. In this situation, you can postpone the notice period and pay for services on a monthly basis - then we receive and send information on all letters.
